1. Definitions
Key terms
Ubizz — The mobile application and website operated by Ubizz.
Buyer — Any individual or business seeking services through Ubizz, including businesses based in Canada, the UK, and the US.
Seller — A student anywhere in the world providing services via Ubizz.
User — Any individual using Ubizz, including Buyers and Sellers.
Content — Any text, images, videos, posts, messages, or other material shared by Users on Ubizz.

2. Platform Overview
Ubizz operates as a freelance service marketplace connecting students worldwide with businesses and individuals seeking services, primarily from Canada, the UK, and the United States. Ubizz also includes social and community features allowing Users to:
- Communicate with other students
- Share content via posts
- Discover and attend events
- Engage with a wider student community
Ubizz acts as a facilitator and does not employ Users or guarantee the availability, quality, or completion of services. Users are solely responsible for their interactions.

3. Registration & Eligibility
Buyer registration
Registration is free for Buyers. Buyers must provide accurate business or personal details and agree to these Terms.
Seller registration
Registration is free for Sellers. Sellers must provide their name, institution and a valid email address. Sellers must be currently enrolled students at any recognized post-secondary institution worldwide.
Student verification
Sellers must verify their student status annually using a valid institutional email (e.g. .ac.uk, .edu, .ca, or an equivalent institutional domain). Failure to re-verify may result in account suspension. (coming soon)
Account responsibilities
Users may only register one account and must not share login credentials. Users are responsible for all activity under their account.

4. Buying & Selling Services
Posting jobs
Buyers can list job requests on Ubizz. Sellers can apply based on their skills and availability.
Payments & deposit
Payment is processed via Wix at confirmation. Ubizz collects a 15% platform deposit from the Buyer at the time of booking. Sellers receive their payment upon confirmed completion of the service. Cash transactions are not permitted.
Completion & ratings
Buyers must confirm the service was delivered as agreed. Users can leave ratings and reviews that impact future engagements.

5. Tax & Contractor Status
Independent contractor
Users are independent contractors, not employees of Ubizz. Ubizz does not set working hours, wages, or provide materials or equipment.
Canadian Users
Users based in Canada are responsible for reporting their earnings to the Canada Revenue Agency (CRA). Sellers who exceed the CRA small supplier threshold may be required to register for and collect GST/HST. Ubizz does not withhold taxes on behalf of Users.
UK Users
Users based in the United Kingdom are responsible for reporting their earnings to HMRC and complying with applicable UK tax laws.
US Users
Payments are processed via Stripe or Wix, which may issue Form 1099-K if annual earnings exceed applicable IRS thresholds. Ubizz does not issue Form 1099-NEC and does not withhold taxes.
International Users
Users based outside Canada, the UK, and the US are solely responsible for complying with all applicable tax laws in their respective jurisdictions.
Taxpayer responsibilities
All Users agree to self-report their earnings and comply with relevant tax laws. Ubizz is not responsible for tax filings or penalties incurred by Users.

6. Platform Conduct & Restrictions
Users may not:
- Violate any applicable laws
- Engage in fraudulent activity
- Post misleading job listings
- Use Ubizz for unauthorised commercial purposes
- Promote violence, hate speech, or illegal activities
- Post harmful, misleading, or inappropriate content
Failure to comply may result in account termination without notice.

7. Cancellations & Disputes
Buyer cancellations
Buyers may cancel before a Seller starts a job. Late cancellations may result in a cancellation fee. The 15% platform deposit is non-refundable once a Seller has been confirmed and work has commenced.
Seller cancellations
If a Seller cancels after accepting a job, Ubizz may restrict their account for repeat violations.
Dispute resolution
Disputes should be resolved directly between Users. Ubizz may assist but is not liable for resolving disputes. Users agree to attempt good-faith resolution before escalating any matter.

8. Payments & Financial Terms
Payment processing
All payments are processed through Wix or Stripe. Ubizz does not store payment card information.
Platform deposit
Ubizz retains a 15% deposit from the total job value, collected from the Buyer at confirmation. This covers platform maintenance, payment processing, and support services.
Currency
Transactions are processed in the currency selected at checkout. Exchange rate differences and any applicable conversion fees are the responsibility of the User. Ubizz is not liable for currency fluctuations.
Refunds
Ubizz does not guarantee refunds unless a service is not delivered. Disputes regarding service quality must be resolved between Users. Any refund determinations are at the sole discretion of Ubizz.

9. Liability & Indemnity
Disclaimer of liability
Ubizz is a marketplace facilitator and is not liable for disputes, service failures, or user interactions. Users assume all risks associated with hiring or offering services through the platform.
Limitation of liability
To the maximum extent permitted by applicable law, Ubizz's total liability to any User for any claim shall not exceed the total fees paid by that User to Ubizz in the three months preceding the claim.
Indemnification
Users agree to indemnify and hold harmless Ubizz and its operators against any claims, damages, losses, or expenses arising from their use of the platform or violation of these Terms.

10. Data Protection & Privacy
Ubizz complies with applicable privacy laws including Canada's PIPEDA, Quebec's Law 25, the UK GDPR, and US state privacy laws where applicable. Personal data is processed in accordance with our Privacy Policy, available on the Ubizz platform.
By using Ubizz, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. As a global platform, data may be processed and stored in Canada or other jurisdictions.

11. Social Features & User Content
User content
Users may create, upload, and share content including posts, messages, and images. By posting content on Ubizz, you grant Ubizz a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with the platform.
Responsibility for content
Users are solely responsible for the content they create and share. Content must not:
- Be illegal, harmful, or misleading
- Infringe on intellectual property rights
- Contain harassment, hate speech, or explicit material
- Promote scams or unsafe behaviour
Ubizz reserves the right to remove any content at its discretion.
Interactions between Users
Users interact with each other at their own risk. Ubizz does not verify the accuracy of user-generated content and is not responsible for any interactions outside of task agreements.

12. Events
Users may create, promote, and attend events through Ubizz. Ubizz does not organise, host, or take responsibility for events listed on the platform. Event organisers are responsible for the accuracy of event details, the safety and legality of the event, and any outcomes or incidents related to it. Users attend events at their own risk.

13. Marketplace & Peer-to-Peer
Ubizz may allow Users to list, discover, and exchange services or opportunities beyond standard jobs. Unless explicitly stated, all marketplace activity is conducted directly between Users. Users are responsible for verifying the legitimacy of listings, ensuring transactions are lawful in their jurisdiction, and exercising caution when interacting with other Users. Ubizz is not liable for scams, failed transactions, or disputes arising from marketplace activity.

14. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of Ontario. Users in other jurisdictions acknowledge that local laws may also apply.

15. Changes to These Terms
Ubizz may update these Terms at any time. Where required, reasonable notice of material changes will be provided. Continued use of Ubizz after updates constitutes acceptance of the new terms.
